This vacancy announcement is for one position posted across multiple possible duty stations. That includes Jakarta , Indonesia and New Delhi, India. The selected candidate's duty station will be determined based on organizational requirements and business needs. The Legal Department of IFC (CLED), under the Vice President and General Counsel, is responsible for providing legal and policy advice to IFC’s Board of Directors, Management and client departments on operational, advisory, and corporate matters. Specifically, CLED supports client departments as well as private sector teams within the Knowledge Bank (global knowledge compact of the WBG) in. (i) The delivery of IFC’s annual program of financing private sector projects in emerging markets, advisory services, as well as early-stage engagements and pre-investment project development work to identify opportunities for private sector investments and creating markets (“Upstream”) (ii) Project portfolio management (including jeopardy projects and projects in litigation); (iii) the delivery and design of structured finance products, sub-national lending, equity and quasi-equity and public- private partnerships, and investments in funds, as well as platform products; (iv) advising on corporate policy and operational matters; and (v) knowledge management and training including working with relevant verticals of the Knowledge Bank. To support IFC’s growing activities in Asia, CLED is recruiting a highly motivated and qualified Legal Analyst, to be based in Jakarta, Indonesia or New Delhi, India. The Legal Analyst will work as an integral member of CLED’s Asia team and will support IFC lawyers and business teams across investment, advisory, upstream, and portfolio matters. Duties and accountabilities: • Prepare supporting documentation for internal and external matters, e.g., powers of attorney, proxies, signature designations, counsel retainer letters and Article III notices (notifying member governments of proposed IFC investments). • Assist IFC in-house counsel in preparing and reviewing legal documentation, including standard-form agreements and routine amendments, consents and waivers. • Coordinate effectively with IFC’s external counsel, including supporting engagement and retainer processes, monitoring deliverables, and facilitating communication among IFC counsel, business teams, and other stakeholders as required. • Support the legal execution and closing of IFC transactions, including coordinating signature processes, tracking the completion of conditions to disbursement or effectiveness. • Maintain complete and accurate legal records and coordinate the filing of transaction documents in accordance with IFC guidelines and practices. • Support portfolio matters relating to IFC’s debt, equity and other investments, including routine amendments, waivers, consents, disbursements, restructurings and other post-commitment matters, as assigned. • Support IFC’s advisory and upstream program under appropriate supervision by IFC in-house counsel and follow up on the completion of any such agreements with IFC staff. • Identify and analyze legal and policy issues associated with investment or advisory or upstream projects. • Anticipate and escalate execution, documentation, or process issues that may affect transaction timelines or compliance with IFC requirements. • Contribute to and support CLED’s Knowledge Management or other organizational objectives, including the responsible use of AI-enabled or other legal technology tools, development of templates and guidance materials, and sharing lessons learned. • Contribute to and support institutional matters relevant to the relevant IFC country office and undertake other responsibilities assigned by IFC in-house counsel consistent with the role.
